Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Outwest Management LLC, a Utah limited liability company doing business as HeirClaim ("HeirClaim," "Company," "we," "us," or "our"), governing your access to and use of the HeirClaim website, platform, applications, and all related services (collectively, the "Services").
BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.
1. Nature of Services
1.1 Document Preparation Service
HeirClaim is a document preparation and claim submission service that assists users in locating unclaimed property held by state governments, preparing claim documentation, and submitting claims to state agencies on behalf of users. We are not a law firm, not a licensed attorney, and do not provide legal advice, legal representation, or legal services of any kind. Our Services include document preparation, claim submission to state agencies, information gathering, and administrative assistance.
1.2 No Attorney-Client Relationship
No attorney-client relationship is created by your use of the Services. If you require legal advice, you should consult with a licensed attorney in your jurisdiction. HeirClaim may provide referrals to attorneys but is not responsible for the advice, actions, or omissions of any referred attorney.
1.3 No Guarantee of Recovery
HeirClaim does not guarantee that any unclaimed property search will yield results, that any claim will be approved by the applicable state agency, or that any funds will be recovered. State agencies have sole discretion over the approval or denial of unclaimed property claims. You acknowledge that the use of our Services does not guarantee any particular outcome.
1.4 Registered Investigator
HeirClaim operates as a registered unclaimed property investigator with the California State Controller's Office pursuant to California Code of Civil Procedure Section 1582. Our operations comply with all applicable state and federal regulations governing unclaimed property recovery services.
2. Eligibility
You must meet the following requirements to use the Services:
- You must be at least 18 years of age.
- You must have the legal capacity to enter into a binding agreement.
- You must provide accurate, current, and complete information during registration and at all times thereafter.
- You must not have been previously suspended or removed from the Services.
- Your use of the Services must not violate any applicable law or regulation.
3. Account Registration and Security
3.1 Account Creation
To access certain features of the Services, you must create an account. You agree to provide truthful, accurate, and complete information during registration and to keep your account information updated at all times. You may not create more than one account per person.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to immediately notify HeirClaim of any unauthorized use of your account or any other breach of security. HeirClaim shall not be liable for any loss or damage arising from your failure to protect your account credentials.
3.3 Account Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, provision of fraudulent or misleading information, suspected fraud or illegal activity, or extended periods of inactivity.
4. Fees and Payment
4.1 Fee Structure
HeirClaim charges fees for its document preparation and claim filing services in compliance with California Code of Civil Procedure Section 1582. Our current fee structure is as follows:
- Free Search: Searching for unclaimed property is free and does not require an account.
- Claims Under $1,000 (Standard Service): Flat-rate document preparation and claim submission fees of $29, $49, or $79 depending on estimated claim value. HeirClaim prepares all documents and submits the claim to the state on your behalf.
- Claims $1,000 and Over: $15 per month subscription fee plus a 10% finder's fee on successfully recovered funds, in accordance with CCP §1582 limitations.
4.2 Fee Limitations
Pursuant to CCP §1582, HeirClaim shall not charge, demand, collect, or receive any fee, commission, or compensation in excess of the amounts permitted by applicable law. No fees are charged unless you voluntarily elect to use our paid document preparation or claim filing services.
4.3 Payment Terms
All fees are due at the time of service unless otherwise specified. Subscription fees are billed monthly and will automatically renew unless cancelled. You authorize HeirClaim to charge your selected payment method for all applicable fees. All payments are processed through our third-party payment processor (currently Stripe). HeirClaim does not store your credit card information on our servers.
4.4 Refund Policy
Document preparation fees are non-refundable once documents have been generated. If a claim is denied by the state agency, HeirClaim will not charge the finder's fee. Monthly subscription fees may be refunded on a prorated basis if you cancel within the first 30 days of your subscription. After 30 days, subscription fees are non-refundable for the current billing period. If HeirClaim is unable to generate the documents required for your claim due to a deficiency in our Services, you are entitled to a full refund of any document preparation fees paid.
5. User Representations and Warranties
By using the Services, you represent and warrant that:
- All information you provide is truthful, accurate, and complete.
- You have the legal right to claim the unclaimed property you are seeking to recover, either as the original owner or as a lawful heir or legal representative.
- You will not use the Services to file fraudulent, deceptive, or misleading claims.
- You will not impersonate any person or entity or misrepresent your affiliation with any person or entity.
- You will not use the Services for any illegal purpose or in violation of any applicable law or regulation.
- You will not attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services.
- You will not use automated means (bots, scrapers, crawlers) to access or interact with the Services without our express written permission.
- You will not interfere with or disrupt the integrity or performance of the Services.
- Any documents you upload are genuine and have not been altered, falsified, or forged.
6. Intellectual Property
6.1 HeirClaim Property
The Services, including all content, features, functionality, software, code, designs, text, graphics, logos, icons, images, and the selection and arrangement thereof, are owned by Outwest Management LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. The HeirClaim name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Outwest Management LLC.
6.2 Limited License
Subject to these Terms, HeirClaim grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use. This license does not include any right to: (a) resell or commercially use the Services; (b) copy, reproduce, distribute, or publicly display any content from the Services; (c) modify or create derivative works based on the Services; (d) use data mining, robots, or similar data gathering or extraction methods; or (e) use the Services other than for their intended purpose.
6.3 User Content
You retain ownership of all documents, information, and data you upload to the Services ("User Content"). By uploading User Content, you grant HeirClaim a limited, non-exclusive license to use, process, and store such content solely for the purpose of providing the Services to you. We will not sell, share, or distribute your User Content to any third party except as necessary to fulfill your claim (e.g., submitting documents to state agencies on your behalf).
7. Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Filing false, fraudulent, or deceptive unclaimed property claims.
- Submitting forged, altered, or counterfeit documents.
- Using the Services to locate unclaimed property for the purpose of identity theft, fraud, or any other unlawful activity.
- Attempting to circumvent rate limits, security measures, or access controls.
- Reverse engineering, decompiling, disassembling, or attempting to derive the source code of the Services.
- Using the Services to build a competing product or service.
- Scraping, harvesting, or collecting data from the Services for any purpose not expressly permitted.
- Transmitting any viruses, malware, worms, or other harmful code.
- Harassing, abusing, threatening, or intimidating any HeirClaim employee or other user.
- Violating any applicable local, state, national, or international law or regulation.
8. Third-Party Services
The Services may contain links to or integrate with third-party websites, services, or applications ("Third-Party Services"), including but not limited to payment processors, notarization services, and state government websites. HeirClaim is not responsible for the content, policies, or practices of any Third-Party Services. Your use of Third-Party Services is governed by the terms and policies of those third parties. HeirClaim does not endorse and shall not be liable for any Third-Party Services.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
HeirClaim does not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the Services will be accurate, reliable, or complete; (c) any errors in the Services will be corrected; or (d) the Services will meet your requirements or expectations.
HeirClaim does not warrant the accuracy, completeness, or currency of any unclaimed property data obtained from state government databases. Such data is provided by third-party government sources, and HeirClaim makes no representations regarding its accuracy.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OUTWEST MANAGEMENT LLC, ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your use of or inability to use the Services;
- Any claim denied or delayed by a state agency;
- Any unauthorized access to or alteration of your transmissions or data;
- Any errors, inaccuracies, or omissions in the unclaimed property data;
- Any conduct or content of any third party on the Services;
- Any loss or damage resulting from reliance on information provided through the Services.
IN NO EVENT SHALL HEIRCLAIM'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO HEIRCLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
11. Indemnification
You agree to indemnify, defend, and hold harmless Outwest Management LLC, its officers, directors, members, managers, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any rights of any third party; (e) any fraudulent, false, or misleading claims or documents submitted through the Services; or (f) any dispute between you and any state agency regarding an unclaimed property claim.
12. Dispute Resolution
12.1 Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The place of arbitration shall be Salt Lake County, Utah. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
12.2 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. If for any reason a claim proceeds in court rather than arbitration, you waive any right to a jury trial.
12.3 Exceptions to Arbitration
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdiction of such court. Either party may also seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
12.4 Informal Resolution
Before initiating arbitration, you agree to first contact HeirClaim at support@heirclaim.com and attempt to resolve the dispute informally for at least thirty (30) days. If the dispute is not resolved within thirty (30) days, either party may initiate arbitration.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. To the extent that arbitration is not applicable, you consent to the exclusive jurisdiction of the state and federal courts located in Salt Lake County, Utah for the resolution of any disputes.
14. Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy carefully to understand our practices regarding your personal information.
15. Modifications to Terms
HeirClaim reserves the right to modify these Terms at any time. Material changes will be communicated to you by posting the updated Terms on the Services and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue your use of the Services immediately.
16. Modifications to Services
HeirClaim reserves the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. HeirClaim shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
17. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.
18. Waiver
The failure of HeirClaim to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
19. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or agreements published by HeirClaim on the Services, constitute the entire agreement between you and HeirClaim regarding your use of the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter hereof.
20. Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without HeirClaim's prior written consent. HeirClaim may assign or transfer these Terms, in whole or in part, without restriction. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties, their successors, and permitted assigns.
21. Force Majeure
HeirClaim shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, strikes, power outages, internet or telecommunications failures, cyberattacks, or government actions.
22. Notices
All notices to HeirClaim shall be sent to: support@heirclaim.com or by mail to Outwest Management LLC, Utah, United States. Notices to you may be sent to the email address associated with your account. Notice shall be deemed given when sent by email or three (3) business days after being sent by mail.
23. California Residents
If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: The Services are provided by Outwest Management LLC. If you have any questions or complaints regarding the Services, please contact us at support@heirclaim.com.
24. Electronic Communications
By creating an account or using the Services, you consent to receive electronic communications from HeirClaim, including emails, push notifications, and in-app messages. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
